The articles of incorporation for your limited liability corporation (LLC) are a basic blueprint of your business itself and a contract between all of the owners, shareholders and the state government.
However, your articles of incorporation (along with things like your by-laws) may need amending from time to time to reflect the reality of your business or meet legal requirements. Under Arizona law, you need to amend the articles of incorporation for your LLC whenever:
- Any statement in your current articles of organization becomes inaccurate (other an address for the business or the name and address of the company’s statutory agent)
- There’s a change in members if you’re a member-managed LLC (like many doctor’s offices), or a change in managers if the LLC is manager-managed
- There’s been a change in which members own 20% or more interest in a manager-managed company
